Welcome to GetRoadNexus.
These Terms of Use (“Terms”) govern your access to and use of https://getroadnexus.com/, including its websites, software applications, dashboards, portals, APIs, mobile-accessible features, communications tools, dispatch tools, reporting tools, integrations, and related products and services collectively referred to as the “Platform” or “Services.”
GetRoadNexus is owned and operated by Truism Business Solutions LLC (“Truism Business Solutions,” “GetRoadNexus,” “we,” “us,” or “our”).
By accessing the Website, creating an account, starting a trial, purchasing a subscription, accepting an order form, inviting users, accessing the Platform, or otherwise using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you must not access or use the Platform.
1. About GetRoadNexus
GetRoadNexus is a software-as-a-service platform designed to help roadside assistance companies, shops, towing companies, mobile repair businesses, fleet service providers, dispatch operations, and related businesses manage their service operations.
Depending on the subscription plan and features enabled for a Customer, the Platform may provide functionality such as:
- Customer and service-request intake
- Roadside job creation
- Dispatch management
- Driver, technician, employee, or vendor assignment
- Job-status tracking
- Location and service-location information
- Customer communication
- Driver and technician communication
- Vendor management
- Service history
- Customer records
- Vehicle information
- Job notes
- Photos and supporting documents
- Operational reporting
- Financial and billing-related reporting
- Vendor payable information
- Data exports
- PDF and CSV reports
- APIs
- Webhooks
- Single sign-on
- User-role management
- Audit trails
- Analytics
- Administrative tools
- Other functionality that we may add, modify, or discontinue from time to time.
Certain features are available only under specific subscription plans.
2. Software Platform — Not a Roadside Service Provider
Unless Truism Business Solutions LLC separately agrees in writing to provide a particular service, GetRoadNexus is a technology and software platform.
GetRoadNexus itself does not automatically become the towing company, repair company, mechanic, tire provider, transportation company, emergency-response provider, dispatcher, employer, contractor, or service provider merely because the Platform is used to arrange, record, dispatch, manage, or track a service.
Customers using GetRoadNexus are responsible for the services they provide to their own customers.
If a Customer assigns work through the Platform to an employee, technician, driver, contractor, towing company, repair provider, or other third party, the Customer remains responsible for determining whether that person or company is appropriately qualified, licensed, insured, authorized, and suitable for the work being assigned.
GetRoadNexus does not guarantee:
- The quality of roadside services
- Technician qualifications
- Driver qualifications
- Vendor performance
- Repair results
- Arrival times
- Towing outcomes
- Pricing charged by a Customer
- Availability of technicians or vendors
- Road conditions
- Service completion
- Customer payment
- Vendor payment
- Vehicle condition
- Safety of a service location
- Accuracy of third-party information.
3. No Emergency Services
GetRoadNexus is not an emergency-response service and should not be used as a replacement for police, fire, ambulance, 911, or other governmental emergency services.
If you or another person is in immediate danger or experiencing a medical, fire, criminal, or other emergency, contact 911 or the appropriate local emergency authority immediately.
Internet service, mobile networks, GPS services, third-party integrations, or other systems may become unavailable or delayed. You should not rely on the Platform as your sole means of obtaining emergency assistance.
4. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Platform.
If you access or use GetRoadNexus on behalf of a business, company, organization, or other legal entity, you represent and warrant that:
- You have authority to bind that entity;
- The information you provide is accurate;
- The entity agrees to these Terms; and
- References to “you” or “Customer” include that entity.
If you do not have authority to bind the organization, you may not accept these Terms on its behalf.
5. Customer Accounts
Some features of GetRoadNexus require an account.
You agree to provide accurate, complete, and current information when creating or maintaining your account.
You are responsible for:
- Maintaining accurate account information;
- Protecting passwords and authentication credentials;
- Maintaining the confidentiality of administrator accounts;
- Controlling who is granted access to your workspace;
- Assigning appropriate user roles and permissions;
- Removing access when a person no longer requires it;
- Monitoring activity occurring under your account; and
- Informing us promptly if you suspect unauthorized access.
You must not knowingly allow unauthorized persons to access the Platform.
6. Authorized Users
A Customer may authorize employees, contractors, dispatchers, managers, technicians, drivers, accounting personnel, administrators, and other permitted individuals to access its workspace (“Authorized Users”).
Each individual account is intended for the person to whom the account was assigned.
Unless expressly permitted by GetRoadNexus, users may not:
- Share login credentials;
- Use another person’s account;
- Create fraudulent identities;
- Circumvent user limits;
- Allow unauthorized third parties to access restricted areas of the Platform.
The Customer is responsible for activities performed by its Authorized Users within the scope of the Customer’s account.
7. Administrators
A Customer may designate one or more account administrators.
Administrators may have authority to:
- Add or remove users;
- Modify user roles;
- Configure company settings;
- Access Customer Data;
- Manage integrations;
- View financial information;
- Configure notifications;
- Export information;
- Change subscription settings; and
- Perform other administrative functions.
Customers are solely responsible for selecting appropriate administrators and controlling administrator permissions.
8. Free Trials
GetRoadNexus may offer free trials from time to time.
The current Platform may advertise a trial period or particular trial features. The specific trial duration, features, and limitations displayed when you register control your trial.
Unless otherwise stated:
- A trial is intended to evaluate the Platform;
- Trial functionality may differ from paid functionality;
- Trial accounts may be subject to usage limits;
- We may modify or discontinue a trial program;
- Trial features may not include every production feature;
- Trial data may be deleted after the trial or account closure subject to our retention practices.
If a trial converts into a paid subscription, applicable subscription terms will apply.
9. Subscriptions
Certain GetRoadNexus features require a paid subscription.
Subscription availability, pricing, included modules, usage allowances, user limits, support levels, integrations, and other features may vary by plan.
Your applicable subscription terms may be identified through:
- The Website;
- Your checkout page;
- An order form;
- A service agreement;
- A proposal;
- An invoice;
- A statement of work; or
- Another written agreement between you and Truism Business Solutions LLC.
If an executed written agreement conflicts with these Terms, the executed agreement will control to the extent of the conflict.
10. Billing and Payment
By purchasing a paid subscription, you authorize GetRoadNexus and its applicable payment processor to charge the payment method associated with your account for applicable subscription fees, taxes, and authorized charges.
Fees may be billed monthly, annually, or according to another billing period stated when you subscribe.
You agree to keep valid payment information on file when required.
Except where prohibited by law or expressly stated otherwise:
Subscription fees are non-refundable once charged.
We may suspend access to paid functionality if payment becomes overdue.
11. Automatic Renewal
If your subscription is designated as automatically renewing, it will renew for successive subscription periods unless canceled before the applicable renewal date.
The renewal price will be the then-current applicable price unless another amount has been agreed in writing.
Where applicable law requires advance notice of renewal or price changes, we will provide such notice.
12. Taxes
Fees displayed by GetRoadNexus may exclude applicable sales, use, excise, telecommunications, VAT, GST, or similar governmental taxes.
You are responsible for taxes associated with your purchase except taxes imposed on our net income.
13. Cancellation
You may cancel your subscription using the functionality provided within your account or by contacting us.
Unless otherwise stated in an applicable agreement, cancellation stops future renewal but does not automatically entitle you to a refund for a subscription period already paid.
Access may continue through the end of the paid subscription period.
14. Customer Data
“Customer Data” means information, records, documents, job information, customer information, vehicle data, vendor information, service information, photos, uploaded files, billing information, and other content submitted to the Platform by or on behalf of a Customer.
As between GetRoadNexus and the Customer, the Customer retains ownership of its Customer Data.
You grant Truism Business Solutions LLC a limited, non-exclusive right to host, copy, transmit, process, display, store, back up, and otherwise use Customer Data as necessary to:
- Operate GetRoadNexus;
- Provide requested functionality;
- Maintain the Platform;
- Provide support;
- Prevent fraud and abuse;
- Maintain security;
- Create backups;
- Meet legal obligations; and
- Improve the reliability and operation of the Services.
This license does not transfer ownership of Customer Data to us.
15. Customer Responsibility for Data
You represent and warrant that you have all rights, notices, permissions, authorizations, and legal bases necessary to collect, upload, process, transmit, or otherwise use Customer Data through GetRoadNexus.
This includes, where applicable, information concerning:
- Your customers;
- Drivers;
- Employees;
- Contractors;
- Vendors;
- Technicians;
- Vehicle owners;
- Service locations;
- Contact information;
- Location information;
- Billing records; and
- Uploaded documents.
You must not use GetRoadNexus to unlawfully collect or process personal information.
16. Customer Data Accuracy
GetRoadNexus may display information entered by Customers or their users.
We do not independently verify every item of Customer Data.
Customers are responsible for verifying important information such as:
- Addresses;
- Phone numbers;
- Vehicle information;
- Service locations;
- Pricing;
- Job descriptions;
- Technician assignments;
- Vendor information;
- Customer instructions;
- Parts information;
- Payment information;
- Service completion information.
17. Privacy
Our collection and processing of personal information is described in the GetRoadNexus Privacy Policy located at:
https://getroadnexus.com/privacy-policy/
Your use of the Platform is subject to that Privacy Policy.
Where appropriate, additional data-processing agreements may apply to certain Customers.
18. Tenant and Workspace Separation
GetRoadNexus is designed to maintain separate Customer workspaces.
Each Customer is responsible for ensuring that users are assigned to the proper organization and receive appropriate permissions.
Although we implement safeguards intended to protect Customer Data, no computer system, cloud environment, or internet transmission can be guaranteed to be completely secure.
19. Security
We may maintain administrative, technical, and organizational safeguards designed to protect the Platform and Customer Data.
These may include measures such as:
- Authentication;
- Role-based authorization;
- Tenant separation;
- Logging;
- Audit records;
- Access restrictions;
- Infrastructure safeguards;
- Encryption where appropriate;
- Backup processes; and
- Security monitoring.
Security practices may evolve as the Platform changes.
You are also responsible for maintaining appropriate security practices within your organization.
20. Role-Based Access
GetRoadNexus may provide role-based permissions allowing different users to access different information.
For example, dispatch users may have different access than finance or administrative users.
The Customer is responsible for configuring these permissions appropriately.
We are not responsible for unauthorized internal access caused by the Customer assigning excessive permissions to one of its users.
21. Dispatch Information
The Platform may help users create, assign, update, and track jobs.
Dispatch information may depend upon:
- Information entered manually;
- Location services;
- Mobile devices;
- GPS systems;
- Cellular networks;
- Internet connectivity;
- Driver responses;
- Technician responses;
- Customer information; and
- Third-party integrations.
GetRoadNexus does not guarantee that dispatch or location information will always be accurate, current, uninterrupted, or available.
Customers should independently verify information where safety or service delivery depends upon its accuracy.
22. Location Data
Certain Platform functions may use location information.
Location data can be affected by:
- GPS accuracy;
- Device permissions;
- Network coverage;
- Hardware limitations;
- Environmental conditions;
- User settings;
- Third-party mapping providers.
Any displayed location should be treated as operational information rather than a guaranteed representation of a person or vehicle’s precise physical position.
23. Drivers, Technicians, Contractors, and Vendors
GetRoadNexus may allow Customers to assign work to drivers, technicians, contractors, employees, or vendors.
Unless separately agreed in writing, these individuals and entities are not employees, agents, contractors, joint venturers, or representatives of Truism Business Solutions LLC merely because they use or receive information through the Platform.
Customers are responsible for:
- Qualification requirements;
- Background checks;
- Licensing;
- Insurance;
- Employment classification;
- Contractor classification;
- Safety requirements;
- Compensation;
- Tax obligations; and
- Legal compliance related to their personnel and vendors.
24. Service Prices and Estimates
Customers may use GetRoadNexus to record quotes, charges, expenses, labor, parts, vendor costs, payments, or other financial information.
GetRoadNexus does not independently determine whether a Customer’s prices, charges, estimates, fees, or payment policies are accurate or appropriate.
Any roadside-service estimate or transaction remains between the applicable service provider and its customer unless expressly stated otherwise.
25. Reporting and Analytics
Reports and analytics generated through GetRoadNexus depend on data stored in the Platform.
Reports are provided as operational tools and may not be suitable as a substitute for independently maintained:
- Accounting records;
- Tax records;
- Payroll records;
- Financial statements;
- Legal records;
- Regulatory records.
Customers should verify important financial information before relying upon it for accounting, taxation, payroll, regulatory filings, or legal purposes.
GetRoadNexus does not provide accounting, tax, legal, or financial advice.
26. Exports
Customers may be able to export Platform data through files such as CSV or PDF documents.
Customers are responsible for maintaining appropriate copies of information required for their business, tax, regulatory, or legal obligations.
GetRoadNexus should not be treated as your only permanent records repository unless your agreement expressly states otherwise.
27. APIs and Webhooks
Certain subscription plans may permit access to APIs, webhooks, developer tools, or integrations.
Use of these features may be subject to:
- Documentation;
- Authentication requirements;
- Rate limits;
- Security requirements;
- Additional terms; and
- Technical limitations.
You may not use an API to bypass subscription limits, security controls, access controls, or other restrictions.
We may modify API functionality when reasonably necessary for security, performance, maintenance, or product development.
28. Third-Party Integrations
The Platform may integrate with third-party products and services.
Examples may include:
- Payment processors;
- Mapping providers;
- Email providers;
- SMS providers;
- Cloud-hosting providers;
- Authentication providers;
- Accounting tools;
- Analytics tools;
- Communications services.
Your use of a third-party service may be subject to that provider’s own terms and privacy policies.
GetRoadNexus is not responsible for a third party’s acts, omissions, security, availability, pricing, or policies.
29. SMS and Text Messages
Where you provide a mobile number and expressly consent to receive text messages, GetRoadNexus may send transactional or service-related SMS messages such as:
- Account verification;
- Job notifications;
- Dispatch updates;
- Service-status notifications;
- Security alerts;
- Support communications;
- Other requested operational communications.
Message frequency may vary.
Message and data rates may apply.
Where supported, you may reply STOP to discontinue eligible SMS messages and HELP for assistance.
Consent to receive marketing text messages, where applicable, is not a condition of purchasing a product or service.
Transactional communications necessary to perform a service may be governed separately from optional marketing communications.
Mobile information and messaging consent will be handled in accordance with our Privacy Policy and applicable law.
By verbally opting into the GetRoadNexus SMS messaging program, you agree to receive recurring transactional text messages from GetRoadNexus regarding roadside service requests, dispatch and job-status updates, account notifications, and customer support. Message frequency varies. Message and data rates may apply. Reply STOP at any time to opt out. Reply HELP for assistance or contact contact@getroadnexus.com or 1-844-482-7623. Consent to receive SMS messages is not a condition of purchase. Carriers are not liable for delayed or undelivered messages. See our SMS Consent page for the full program details.
30. Email and Electronic Communications
By creating an account or providing an email address, you consent to receive electronic communications that are necessary to administer your account or provide the Platform.
These may include:
- Account notices;
- Security notifications;
- Subscription information;
- Billing notices;
- Service updates;
- Legal notices; and
- Support communications.
Marketing emails, where sent, will provide applicable unsubscribe options.
You agree that electronic communications may satisfy legal requirements that communications be provided in writing to the extent permitted by law.
31. Acceptable Use
You may use GetRoadNexus only for lawful business purposes and in accordance with these Terms.
You must not:
- Use the Platform for unlawful activities;
- Submit fraudulent service requests;
- Submit materially false information;
- Impersonate another person or organization;
- Attempt to access another Customer’s workspace;
- Circumvent authentication mechanisms;
- Circumvent security protections;
- Probe or test systems without authorization;
- Introduce malware, viruses, ransomware, spyware, or malicious software;
- Interfere with Platform availability;
- Launch denial-of-service attacks;
- Scrape or harvest information without authorization;
- Use automated tools in a manner that materially burdens the Platform;
- Circumvent usage restrictions;
- Reverse engineer or decompile the Platform except where law expressly permits;
- Copy proprietary Platform functionality for competitive purposes;
- Resell access without written authorization;
- Use the Platform to harass, threaten, stalk, or harm another person;
- Upload unlawful, defamatory, obscene, infringing, or malicious material;
- Violate another person’s privacy or intellectual-property rights;
- Use GetRoadNexus to facilitate fraud, theft, or deceptive business practices;
- Interfere with another user’s access to the Platform.
32. Suspension
We may temporarily restrict or suspend access if reasonably necessary to:
- Protect Platform security;
- Prevent fraud;
- Prevent abuse;
- Address nonpayment;
- Respond to legal requirements;
- Protect users or third parties;
- Investigate suspected violations;
- Prevent damage to infrastructure; or
- Address a material violation of these Terms.
Where reasonable under the circumstances, we will attempt to provide notice.
Immediate action may be necessary in security, fraud, legal, or abuse situations.
33. Intellectual Property
Except for Customer Data, GetRoadNexus and all associated software, designs, interfaces, workflows, documentation, text, graphics, logos, trademarks, databases, code, architecture, and other proprietary materials are owned by or licensed to Truism Business Solutions LLC.
These materials are protected by applicable copyright, trademark, trade-secret, and other intellectual-property laws.
Your subscription provides a limited right to use the Platform. It does not transfer ownership of our intellectual property.
34. Limited License
Subject to your compliance with these Terms and payment of applicable fees, Truism Business Solutions LLC grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use GetRoadNexus for your legitimate internal business purposes during your authorized subscription period.
No rights are granted except those expressly stated.
35. Restrictions on Copying
Unless expressly authorized, you may not:
- Copy the Platform;
- Sell or sublicense the Platform;
- Create unauthorized derivative works;
- Republish proprietary documentation;
- Extract substantial portions of proprietary databases;
- Remove proprietary notices;
- Misrepresent ownership of GetRoadNexus materials.
36. Trademarks
GetRoadNexus, the GetRoadNexus logo, associated branding, and related names, marks, graphics, and slogans are trademarks or brand assets of Truism Business Solutions LLC.
Nothing in these Terms grants you permission to use these marks in advertising, domain names, company names, products, or services without written authorization.
Third-party marks remain the property of their respective owners.
37. Feedback
If you submit ideas, feature requests, suggestions, recommendations, or other feedback concerning GetRoadNexus, you grant Truism Business Solutions LLC the right to use that feedback without restriction or compensation.
Feedback does not include your confidential Customer Data.
38. Copyright and Intellectual-Property Complaints
We respect intellectual-property rights.
If you believe material available through GetRoadNexus infringes your copyright or other intellectual-property rights, contact:
Your notice should identify:
- The copyrighted or protected work;
- The allegedly infringing material;
- Where the material appears;
- Your contact information;
- The basis for your claim; and
- Any other information reasonably needed to investigate.
39. Third-Party Websites
The Website or Platform may contain links to third-party websites.
Links are provided for convenience and do not necessarily constitute endorsement.
We do not control third-party sites and are not responsible for their:
- Content;
- Security;
- Accuracy;
- Availability;
- Terms;
- Privacy practices; or
- Services.
Access to third-party websites is at your own risk.
40. Platform Changes
GetRoadNexus is continually developed.
We may add, modify, replace, or discontinue functionality to improve security, functionality, reliability, or product design.
We will use commercially reasonable efforts to avoid materially reducing core paid functionality during an active subscription without reasonable notice, except where changes are necessary because of:
- Law;
- Security;
- Third-party services;
- Technical requirements;
- Abuse prevention; or
- Circumstances beyond our control.
41. Beta and Preview Features
We may offer experimental, beta, preview, early-access, or evaluation features.
Such features may:
- Contain errors;
- Change without notice;
- Be incomplete;
- Experience greater downtime;
- Be discontinued.
Beta or preview features should not be relied upon for critical operations unless we specifically state otherwise.
42. Availability and Maintenance
We work to maintain reliable Platform availability, but uninterrupted availability cannot be guaranteed.
Service may occasionally be interrupted because of:
- Planned maintenance;
- Emergency maintenance;
- Internet outages;
- Cloud-provider failures;
- Telecommunications failures;
- Cybersecurity events;
- Third-party integration failures;
- Force-majeure events;
- Other circumstances beyond reasonable control.
Specific service-level commitments, if applicable, will be governed by a separate SLA, order form, subscription agreement, or applicable plan terms.
43. Support
Support availability may vary by subscription plan.
Support may be provided through channels including:
- Email;
- Telephone;
- Online forms;
- Platform messaging;
- Documentation.
A stated support response target does not guarantee that every issue can be resolved within a particular period.
44. Data Backup
Although GetRoadNexus may maintain backups as part of its service operations, Customers remain responsible for maintaining copies of information necessary to satisfy their business, legal, tax, insurance, compliance, and record-retention obligations.
45. Data Retention After Termination
Following termination or expiration, Customer Data may remain temporarily in active systems or backups consistent with our Privacy Policy, contractual requirements, legitimate business needs, and applicable law.
Where data-export functionality is available, Customers should export needed information before account closure.
We may delete or anonymize Customer Data after applicable retention periods expire unless we are legally required to retain it.
46. Confidentiality
Each party may receive confidential information belonging to the other.
Confidential Information includes non-public information that reasonably should be understood as confidential based on its nature or circumstances of disclosure.
Each party agrees to:
- Protect Confidential Information using reasonable care;
- Use Confidential Information only for authorized purposes;
- Limit disclosure to persons who reasonably need access;
- Avoid unauthorized disclosure.
Confidentiality obligations do not apply to information that:
- Is publicly available without breach;
- Was lawfully known before disclosure;
- Is received lawfully from another source;
- Is independently developed without use of the confidential information.
A party may disclose information when required by law, court order, subpoena, or governmental request, subject to applicable legal restrictions.
47. Customer Representations
You represent and warrant that:
- You have authority to enter these Terms;
- Your use of GetRoadNexus will comply with applicable law;
- You have lawful rights to Customer Data;
- You will not intentionally introduce harmful software;
- You will not use the Platform fraudulently;
- Information you provide will not knowingly violate third-party rights.
48. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GETROADNEXUS, THE WEBSITE, PLATFORM, SOFTWARE, DOCUMENTATION, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TRUISM BUSINESS SOLUTIONS LLC DISCLAIMS ALL WARRANTIES NOT EXPRESSLY PROVIDED IN WRITING, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- TITLE;
- NON-INFRINGEMENT;
- ACCURACY;
- AVAILABILITY;
- RELIABILITY.
WE DO NOT WARRANT THAT THE PLATFORM WILL ALWAYS BE UNINTERRUPTED, COMPLETELY ERROR-FREE, OR IMMUNE FROM EVERY SECURITY INCIDENT.
Some jurisdictions do not allow exclusion of certain warranties, so some exclusions may not apply to you.
49. No Guarantee of Business Results
GetRoadNexus is a business operations tool.
We do not guarantee that use of the Platform will:
- Increase revenue;
- Increase profit;
- Reduce expenses;
- Generate customers;
- Prevent disputes;
- Eliminate operational errors;
- Improve collection rates;
- Guarantee vendor performance;
- Guarantee employee performance.
Business results depend on circumstances beyond the Platform.
50. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUISM BUSINESS SOLUTIONS LLC AND ITS OWNERS, AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO GETROADNEXUS.
THIS INCLUDES, WHERE PERMITTED BY LAW, DAMAGES FOR:
- LOST PROFITS;
- LOST REVENUE;
- LOSS OF BUSINESS;
- LOST DATA;
- BUSINESS INTERRUPTION;
- LOSS OF GOODWILL;
- SUBSTITUTE SERVICES;
- MISSED DISPATCHES;
- VENDOR PERFORMANCE;
- VEHICLE DAMAGE;
- CUSTOMER DISPUTES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE PLATFORM WILL NOT EXCEED THE FEES PAID OR PAYABLE BY THE CUSTOMER TO GETROADNEXUS DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes liability that cannot legally be excluded.
51. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Truism Business Solutions LLC, GetRoadNexus, and their officers, owners, employees, affiliates, representatives, contractors, and agents from claims, liabilities, damages, judgments, losses, expenses, and reasonable attorneys’ fees arising from or relating to:
- Your violation of these Terms;
- Your misuse of the Platform;
- Your Customer Data;
- Services performed by your business;
- Your dealings with customers;
- Your drivers, employees, technicians, contractors, or vendors;
- Your violation of law;
- Your infringement of third-party rights;
- Your pricing or billing practices;
- Vehicle damage or property damage caused by your services;
- Bodily injury arising from your operations.
This provision does not require indemnification for losses caused solely by Truism Business Solutions LLC’s own conduct where indemnification would be prohibited by law.
52. Term and Termination
These Terms remain effective while you access or use GetRoadNexus.
A Customer may discontinue use or cancel a subscription subject to applicable subscription terms.
We may terminate or suspend access for material breach, including:
- Nonpayment;
- Fraud;
- Security threats;
- Illegal activity;
- Abuse;
- Unauthorized access;
- Repeated violations of these Terms.
Where reasonable and appropriate, we may provide an opportunity to cure a breach.
53. Effect of Termination
Upon termination:
- Your license to use the Platform ends;
- Access may be disabled;
- Outstanding charges remain due;
- Provisions intended to survive termination remain effective.
Sections concerning intellectual property, confidentiality, payment obligations, limitations of liability, indemnification, dispute resolution, and other provisions that by their nature should survive will continue after termination.
54. Compliance With Law
You are responsible for determining which laws and regulations apply to your business.
Depending on your activities, applicable requirements may include rules concerning:
- Towing;
- Vehicle repair;
- Transportation;
- Licensing;
- Insurance;
- Employment;
- Independent contractors;
- Consumer protection;
- Taxes;
- Communications;
- Data privacy;
- Record retention;
- Payment processing.
GetRoadNexus does not provide legal advice or determine whether your business is compliant with industry-specific regulation.
55. Export and Sanctions Compliance
You may not use GetRoadNexus in violation of applicable United States export-control, sanctions, or trade laws.
You represent that you are not prohibited from receiving the Services under applicable law.
56. Governing Law
These Terms shall be governed by and interpreted under the laws of the State of Texas, United States, without regard to conflict-of-law principles.
57. Dispute Resolution
Before filing formal legal proceedings, the parties agree to make reasonable efforts to resolve disputes informally.
A party initiating a dispute should provide written notice describing:
- The issue;
- Relevant facts;
- Requested resolution.

Unless another written agreement provides otherwise, any judicial proceeding arising from these Terms shall be brought in a court of competent jurisdiction located in Dallas County, Texas, and each party consents to jurisdiction and venue there.
58. Injunctive Relief
Nothing in these Terms prevents either party from seeking temporary, preliminary, or permanent injunctive relief where appropriate to protect confidential information, intellectual property, system security, or prevent unauthorized access.
59. Force Majeure
Neither party will be responsible for delay or failure caused by events beyond its reasonable control, including:
- Natural disasters;
- Fire;
- Flood;
- Severe weather;
- War;
- Terrorism;
- Civil disturbance;
- Government action;
- Labor disruption;
- Internet outages;
- Telecommunications failures;
- Utility failures;
- Cyberattacks;
- Cloud-provider outages;
- Widespread infrastructure failures.
This section does not excuse payment obligations for Services already provided.
60. Changes to These Terms
We may update these Terms periodically to reflect:
- Changes in the Platform;
- New functionality;
- Legal requirements;
- Security practices;
- Business practices.
When changes are made, we will update the “Last Updated” date.
If a change materially affects existing Customers’ rights or obligations, we may provide additional notice through the Platform, email, or another reasonable method.
Continued use after updated Terms become effective constitutes acceptance to the extent permitted by law.
61. Changes to the Platform
We reserve the right to modify the Platform and its functionality.
Nothing in these Terms requires GetRoadNexus to indefinitely maintain a particular feature, integration, interface, report, workflow, or third-party connection.
Material subscription changes will be handled in accordance with applicable agreements and law.
62. Assignment
You may not assign or transfer these Terms or your subscription without our prior written consent, except where permitted by an applicable written agreement.
Truism Business Solutions LLC may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, or sale of substantially all relevant business assets.
63. No Waiver
Failure to enforce any provision of these Terms does not waive the right to enforce that provision later.
A waiver is effective only when made in writing by an authorized representative.
64. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect.
The invalid provision will be interpreted or modified to the minimum extent necessary to make it enforceable where permitted by law.
65. No Third-Party Beneficiaries
Except as expressly stated, these Terms do not create rights for any person or entity other than the parties.
66. Relationship of the Parties
These Terms do not create a partnership, franchise, employment relationship, agency, fiduciary relationship, or joint venture between the Customer and Truism Business Solutions LLC.
67. Headings
Section headings are provided for convenience and do not affect interpretation of these Terms.
68. Entire Agreement
These Terms, together with applicable:
- Privacy Policy;
- Order forms;
- Subscription agreements;
- Data Processing Agreements;
- Service Level Agreements;
- Statements of Work;
- Other agreements expressly incorporated by reference,
constitute the applicable agreement governing use of the Platform.
If an executed agreement expressly conflicts with these Terms, that executed agreement controls with respect to the conflicting provision.
